Additional Talkwalker Services Terms

These Additional Talkwalker Services Terms ("Additional Terms") are hereby incorporated into and form an integral part of the broader Terms of Service (including any Supplemental Terms) applicable to your Services (the "Terms"). Undefined capitalized terms used herein shall have the meanings ascribed to them in the Terms. The Terms and these Additional Terms (collectively, the "Talkwalker Terms") constitute a legally binding agreement governing your purchase and use of the Additional Talkwalker Services (as defined below).
For purposes of the Talkwalker Terms, "you," "your," "Customer," "Company," and similar terms refer to the person or entity accessing or using the Additional Talkwalker Services and "we," "us," or "our" refers to Hootsuite or Talkwalker, as applicable.
1. Additional Definitions.
“Additional Talkwalker Services” means any of the API Services (as defined below), Command Center Services and/or Social Content Rating Services.
"Command Center Services" refers to custom dashboards that let you display certain Talkwalker widgets on the Talkwalker Services. These are an add-on to your main Talkwalker Services.
“Customer API Content” means any data, information or content (including but not limited to text, figures, images or other format, graphs, statistics, calculation reports, or other formats) that Customer inputs, directly or indirectly, or provides to Talkwalker for ingestion into the Talkwalker Services (via an API connection or other technical means).
"Public Screen" means any monitor, screen, or video display at a live event, public venue, or any other setting accessible to the general public.
“SCR Information” means the data and information included in Social Content Ratings Services.
“Social Content Ratings Services” mean Talkwalker Services purchased by Customer which measure social media activity on certain social media platforms relating to television programs, networks, and sports (if applicable) through the platform and as available in the Licensed Geographic Region (as defined in an Authorization Form).
2. API Services. If your Authorization Form includes the API Services, the following additional terms shall apply:
2.1 License Grant. For the Term of the Authorization Form and subject to Customer’s compliance with the conditions set forth below, Talkwalker grants Customer a non-exclusive, non-transferable license to use the Talkwalker Application Program Interface (“API”) solely for the following purposes: (i) accessing and making calls to the API as necessary to retrieve and/or reproduce Customer API Content or to integrate with the Services; (ii) altering, enhancing, modifying, or creating derivative works of the applicable data as necessary to retrieve and/or transmit data or to integrate with the Services for Customer’s internal use; and (iii) developing, testing, and modifying software created by, or on behalf of, Customer that interfaces with, uses, or incorporates the API or any portion thereof (“API Services”).
2.2 Documentation. Upon execution of the Authorization Form, Talkwalker will provide Customer with access to relevant online documentation, including data formats, access tokens, project IDs, and other technical information required for integration with the API Services.
2.3 Usage Restrictions. In addition to complying with the general conditions and restrictions for the access and use of the Enterprise Services as defined in the Terms and any associated documentation including the Acceptable Use Rules, Customer agrees to the following additional conditions specific to the API Services: (a) Raw data accessible through the API Services shall not be redistributed and is solely for Customer’s internal use; and (b) The license is granted subject to the credit limit specified in the Authorization Form.
2.4 Third-Party Platform Restrictions. Certain Third-Party Platforms restrict or prohibit the use of API Services. Customer acknowledges that certain Third-Party Content may be inaccessible through the API Services, and Talkwalker shall have no liability in this respect. As of the date of execution of the Authorization Form, content of Facebook and Instagram is not available. Talkwalker may update the list of Third-Party Content that is restricted or unavailable from time to time and will make reasonable efforts to notify Customer.
2.5 Customer Responsibility. Customer is solely responsible for the accuracy, legality, and content of all Customer API Content and derivative works thereof.
2.6 Representations and Warranties. Customer represents and warrants that: (i) it holds all necessary rights, licenses, and consents to authorize us to upload, ingest, process, display, and otherwise make available Customer API Content, including any derivative works, solely for the purposes of providing the API Services and frontend interface to the Customer, regardless of whether such content is provided directly by the Customer or uploaded on the Customer’s behalf, (ii) Customer API Content and any derivative works, and their use, will not infringe upon or violate the rights of any third party, and (iii) Customer’s use of the API will at all times comply with applicable privacy policies and all local, state, federal, and international laws, regulations, and conventions, including but not limited to those governing data privacy, international communications and the export of technical or personal data.
2.7 License. Customer acknowledges that all content accessed via the API Services is licensed to Customer solely for the Term of the Authorization Form for Customer’s internal use and that no ownership rights are transferred. Upon expiration or termination of this Authorization Form, or upon request by a content provider, Customer shall promptly delete all content obtained through the API Services, including any backups or copies. No refund or reallocation of credits shall be provided in connection with such deletions.
2.8 Effects of Non-Compliance. Customer further acknowledges that we may suspend or terminate access to API Services without liability in the event of Customer’s non-compliance with Third-Party Service policies.
3. Command Center Services. If your Authorization Form includes Command Center Services, these additional terms apply:
3.1 Use Limitations. Your use of the Command Center Services is strictly limited for display within a private building. This means a location that is not open to the public. You specifically cannot use Command Center Services on a Public Screen. For example, displaying them in a visitor's lobby, airport, or at a trade show is not allowed.
3.2 Public Screen Use Requests. If you intend to use a Command Center on a Public Screen, you must inform Talkwalker before signing the Authorization Form. The specific terms for such use are available at https://www.hootsuite.com/legal/command-center-services. In such cases, Talkwalker will then work with X and/or other third-party services to try and get approval for that Public Screen use. You cannot display the Services on a Public Screen without Talkwalker's prior written approval. Additional terms and conditions might apply as a condition of such use.
4. Social Content Ratings Services. If your Authorization Form includes Social Content Ratings Services and SCR Information (collectively, the “SCR Services”), these additional terms apply:
4.1 Use and Disclosure of SCR Information. You acknowledge that the SCR Services are made available to Customer for its confidential internal use within the Licensed Geographic Region, except that Customer may disclose “Limited Excerpts'' (meaning SCR Information that is not of sufficient quantity or quality as to have independent commercial value, as determined by Talkwalker in its sole discretion) to advertisers, advertising agencies, media buyers, and external communications having a legitimate business interest in the SCR Information as part of Customer’s advertising and sales efforts; provided, however, that any disclosure must be accurately sourced to Talkwalker, not claim Talkwalker as the source of any independently generated information, and not be presented in a misleading manner.
4.2 Confidentiality of SCR Services. Customer agrees (i) that the SCR Services are the confidential and proprietary information of Talkwalker, and (ii) to treat the SCR Services provided hereunder and this Agreement as confidential information and not disclose such confidential information, other than as provided in this Agreement, without Talkwalker’s prior written consent. Customer may not provide SCR Information to third parties (including X and Meta Content) via API, bulk download, export features, or other transferable means.
4.3 Disclaimer. SCR Information (i) does not provide a measure of program or artist popularity per se, as other factors, such as the network or station, time of day, season, weather and competing, preceding and following programs, are also relevant, and (ii) does not provide a measure of network, station or cable network popularity or values per se, because such data also reflect other factors, such as program and artist popularity, time of day, season, weather and competing, preceding and following programs.
